The Caterer and the Customer agree as follows:
1. Services. The Caterer shall provide to the Customer the services set out in Exhibit A (the "Services") on the date and at the time and place listed therein (the "Event").

2. Customer Obligations. The Customer shall:
2.1 Respond promptly to any reasonable requests from the Caterer for instructions, information, or approvals required by the Caterer to provide the Services.
2.2 Cooperate with the Caterer in its performance of the Services and provide access to the Customer's premises as required to enable the Caterer to provide the Services.
2.3 Take all steps necessary to prevent Customer-caused delays in the Caterer’s provision of the Services.
3. Fees, Deposits, and Payment.
3.1 Fees for the Services. The Customer shall pay to the Caterer the amounts set forth on Exhibit A (the "Fee") in accordance with this Section 3.
3.2 Deposit. Within 48 hours after the Effective Date, the Customer shall pay to Caterer the non-refundable deposit set forth on Exhibit A (the “Deposit”) to reserve the Caterer's Services. If the Deposit is not paid within 48 hours after the Effective Date, the Customer will be required to pay a late fee of $100. The late fee will not be credited toward the Fee. The Customer shall pay the Deposit as required pursuant to this Section 3.2 even if the Customer cancels this Agreement pursuant to Section 5.2.
3.3 Payment. The Customer shall pay the fee in the amounts and on the dates set forth in Exhibit A. If a payment of the fee made by the Customer to the Caterer is late, the Customer will be required to pay a late fee of 5% of said payment. The late fee is not credited towards the total payment of the Fee.
3.4 Cancellation Fees. If the Customer cancels the Services within 7 days of the Event date on Exhibit A, the Customer shall pay to Caterer a cancellation fee of $100. If the Customer cancels the Services within 72 hours of the Event date on Exhibit A, the Customer shall pay to Caterer a cancellation fee of $300.
3.5 Reimbursement of Expenses. The Customer shall reimburse the Caterer for all out-of-pocket expenses incurred by Caterer as a result of the Customer’s special requests or requirements that are not set forth in Exhibit A.
